Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Somata Creator platform, website (somata.me), APIs, and related services (collectively, the "Service") provided by Somata Labs Ltd ("Somata", "we", "us", or "our"), a company registered in England and Wales with its registered office at 6 Wrights Lane, London, W8 6TA.

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. The Service

Somata Creator is a mesh generation platform that produces dimensionally accurate, fully rigged digital human meshes from photographic reference images and biometric data (height, weight, and gender). Each mesh generated through the Service is assigned a unique Somata ID ("SID") that records provenance and licensing metadata.

3. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Source Imagery and Biometric Data

You represent and warrant that you have the legal right to use any photographic reference image you upload to the Service. This includes, without limitation:

• Images of yourself: you confirm the image is of you and was taken with your knowledge.
• Images of other individuals: you confirm you have obtained the explicit, informed consent of the person depicted, including consent for their likeness to be used to generate a digital human mesh.
• Stock or licensed imagery: you confirm your licence permits use for digital human generation and does not restrict derivative works of the kind produced by the Service.

Biometric data (height, weight, gender) you provide is used solely for the purpose of generating a dimensionally accurate mesh. See our Privacy Policy for details on how we handle this data.

You must not upload imagery of minors (individuals under 18 years of age).

5. Mesh Ownership and Licensing

The licensing rights attached to meshes generated through the Service depend on your subscription tier:

• Free tier: Meshes are licensed for evaluation purposes only. You may not use Free-tier meshes in commercial projects, published media, or any revenue-generating context.
• Creator tier: Meshes are licensed for personal and non-commercial use only.
• Pro tier and above: Meshes are licensed for full commercial use, subject to the terms of your subscription agreement and any additional licensing terms associated with the Somata ID registry.

Somata retains no ownership of the meshes you generate. However, each mesh carries a Somata ID that records its provenance, generation parameters, and licensing status within the Somata registry. You may not remove, alter, or obscure the Somata ID metadata embedded in any mesh.

6. Acceptable Use

You agree not to use the Service to:

• Generate meshes from imagery you do not have the right to use.
• Create digital human representations intended to deceive, defraud, or impersonate without consent.
• Produce content that is unlawful, defamatory, harassing, or that promotes violence or discrimination.
• Generate sexually explicit content or content depicting minors.
• Reverse-engineer, decompile, or attempt to extract the source code or algorithms of the Service.
• Use automated systems (bots, scrapers) to access the Service without our express written permission.
• Circumvent usage limits, queue priority mechanisms, or any access controls.

7. Subscription and Payment

Paid subscriptions are billed monthly or annually as selected at the time of purchase. All fees are quoted in US dollars and are exclusive of applicable taxes.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

Studio tier subscriptions require a minimum of three seats. Enterprise pricing is negotiated individually.

We reserve the right to modify pricing with 30 days' written notice. Price changes do not apply to the current billing period.

8. Somata ID and the Registry

Every mesh generated through the Service is assigned a Somata ID — a unique, persistent identifier that records provenance metadata including generation date, source type, licensing tier, and export history.

The Somata ID is integral to our rights and licensing infrastructure. By using the Service, you consent to the creation and maintenance of Somata ID records associated with your generated meshes. These records may be queried by third parties for the purpose of licence verification.

9. Data Processing and Privacy

Your use of the Service involves the processing of personal data, including photographic images and biometric measurements. Our processing of this data is governed by our Privacy Policy, which forms part of these Terms.

10. Intellectual Property

The Service, including its software, algorithms, user interface, documentation, and the Somata Canonical Mesh specification, is the intellectual property of Somata Labs Ltd and is protected by copyright, patent (pending), and other intellectual property laws.

These Terms grant you no rights to Somata's intellectual property other than the limited right to use the Service as described herein.

11. Limitation of Liability

To the maximum extent permitted by law, Somata's total liability to you for any claims arising from or related to the Service shall not exceed the fees you have paid to us in the twelve months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, regardless of whether we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Somata, its directors, officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including intellectual property or privacy rights.

13. Modifications to the Service and Terms

We may modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes where practicable.

We may update these Terms from time to time. Material changes will be notified via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Termination

Either party may terminate the agreement at any time. Upon termination, your right to access the Service ceases immediately. Somata ID records associated with previously generated meshes will persist in the registry for the purpose of ongoing licence verification.

Sections 4, 5, 8, 10, 11, 12, and 15 survive termination.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
